Administration and control

We support in defining the structure, composition and functioning of the Board of Directors, we provide professional support to the BoD and assist in the selection of directors.

Statutory
rules

We contribute to the drafting of the By-Laws and the definition of the corporate structure, regulating the composition of corporate bodies, possible special shareholders’ rights and enhanced quorums for shareholders’ meetings and/or BoDs.

Powers, delegations and proxies

We design power, delegation and proxy structures at all company levels, from the Board of Directors to subordinates, to define roles, duties and responsibilities, segregate functions, reduce risks, misconducts and frauds.
