Independent Directors

We play the role of independent directors supervising corporate management, ensuring it is carried out consistently with the objectives of sound and prudent management. We provide an independent and unbiased opinion on resolutions proposed by the managing directors, especially on sensitive issues and potential sources of conflict of interest. We enrich the board’s debate and act for balance between majority and minority shareholders for the maximum benefit of the entire community of stakeholders.

Boards of Statutory Auditors

We supervise the activity of directors and check for the company to be managed in compliance with the law and the By-Laws. We monitor the adequacy of organisational, administrative and accounting structures, also with the purpose of a timely detection of crisis and loss of business continuity. We plan our supervisory activity in accordance with the Risk Approach principle, including through the exchange of information with the legal auditor and, the Supervisory Board, if any.

Supervisory Bodies 231

We carry out supervisory and audit activities on the Organisation, Management and Control Model pursuant to Legislative Decree 231/01 by taking on internal mandates in Supervisory Bodies or by supporting them externally. We carry out these activities covering all business areas and processes exposed to the commission of the unlawful conducts laid down by Legislative Decree 231/01 (administrative processes, technical functions, design, research and development, management of health and safety on the workplace, environmental impacts, sales and commercial promotion activities, etc.).

DPO Data Protection Officer

We perform the role of Data Protection Officer (DPO), thanks to integrated legal, organizational/managerial and technological expertise: detailed knowledge of legislations, rules and specific administrative procedures and IT skills to define an organized personal data management system. We support the enterprise in capitalizing on the value of information, according to an appropriate trade-off between opportunities, risks and compliance with the rules.
